(C) Group Contracting Guidelines

Finally, we have created a set of Group Contracting Guidelines which serve as a checklist of the key points
that should be considered during the procurement and contract negotiation process. These guidelines also identify Kingspan’s preferred position in respect of each
of the key points.

(B) Template Agreements

We have also negotiated some template agreements with some of our main suppliers.  A template agreement is an agreed set of terms and conditions between Kingspan and a Supplier, which allows the business to submit orders to that Supplier subject to the agreed terms and conditions. This is beneficial to the business as it increases the speed at which the business can engage suppliers by removing the requirement to negotiate legal terms and conditions for each project. We have saved the template agreement on the KGR Legal SharePoint site which will be regularly updated as we continue to negotiate these types of agreements.

(A) Contract Management System

The Contract Management System is a new digital solution which allows our Group colleagues to submit any contracts for review and allows our divisional colleagues to submit Material Contracts for review by Group Legal. The system is easy to use and streamlines the process of contract review by Group Legal.
